- the name “Voltswagen” was never going to be used by the Company’s U.S. subsidiary;
- the Company and its spokespeople purposefully misled reporters, even after the reporters’ inquiries about whether the name change was an April Fool’s joke; and
- as a result, the Company’s public statements were materially false and misleading at all relevant times.
