This legal claim concerns several materially incomplete and misleading Schedule 14D-9 Solicitation/Recommendation Statements filed with the SEC in connection with Apollo Global Management LLC’s tender offer to purchase all of the outstanding shares of Diamond Resorts International.  In the statements, Defendants recommended that Diamond Resorts stockholders tender their shares, but omitted the material facts that (1) the Chairman had abstained from voting in favor of the sale of Diamond Resorts—the business he had founded and led—to Apollo because he believed that mismanagement of the company had depressed the stock price, making it the wrong time to sell, and (2) financial incentives in the form of consulting agreements or co-investment opportunities had been offered to the Chairman, Vice Chairman, and CEO to support the sale of Diamond to Apollo, additional consideration which was not provided to any other stockholder in the Company.
